This study aimed to examine the conception of the alien judgment technique called Business Judgment Rule and the possibility of its application in the Brazilian legal system. The analy-sis was based on the observation of how Law n°6.404/1976 (LSA) defines the rights and re-sponsibilities of the administrators of a corporation, followed by a brief literature review on the subject, precedents of this judgment technique in the Brazilian Securities Commission (CVM) and, from this, it was possible to describe, in general, but without exhausting the subject, how the CVM interprets art. 159, §6 of the LSA.Downloads
