Protection against the abuse of voting rights and the abuse of control power by the controlling shareholder

The goal of the work is to analyze what constitutes abuse of voting rights, abuse of control power and conflict of interest in the corporate sphere, using Institutionalist Theory as a theoretical framework. To this end, the deductive method was used, using research techniques related to indirect documentation. The text aim to verifies the real attributes of the Brazilian corporation, demonstrating that the so-called universal characteristics are not quite "universal". From this, the work focused on the economic reality of Brazilian companies, which suggests that, in Brazil, the controlling shareholder exercises not only the power to control and define assembly decisions, but also the power to manage and guide the economic activity. This finding opens up space to correctly conceptualize abusive acts possibly carried out by the controlling shareholder. Thus, the final goal of the work is to suggest some corporate governance strategies in order to mitigate or avoid the practice of abuse of voting rights, abuse of control power and conflict of interest.
